Terms of Service

Effective and last updated October 7, 2026

These Terms govern your use of NablaNotes. The current release is a free beta for adults. AI and OCR output can be wrong, synchronized data is not a complete backup, and you remain responsible for reviewing results and protecting important work.

1. Agreement and eligibility

These Terms of Service ("Terms") are a binding agreement between you and NablaNotes ("NablaNotes," "we," "us," or "our"), operated from San Diego, California. By creating an account, accessing the beta, or using the app, related web features, extension features, or website (the "Service"), you agree to these Terms and our Privacy Policy.

You must be at least 18 years old and legally able to enter this agreement. The current Service is not offered to anyone under 18. If you use the Service for an organization, you represent that you have authority to bind it, but schools and other institutions may not deploy or require the Service for students without a separate written agreement with us.

2. Accounts

You must provide accurate account information, keep your sign-in credentials secure, and promptly notify us at nablanotescorp@gmail.com if you suspect unauthorized access. You are responsible for activity through your account unless applicable law provides otherwise. You may not sell, share, or transfer access to your account.

3. Free beta; no live billing

NablaNotes is currently offered as a free beta. Purchases and production subscriptions are disabled, so these Terms do not authorize recurring charges, renewal, or payment processing. If we introduce a paid plan, we will disclose the price, billing interval, automatic-renewal terms, cancellation method, refund rules, and applicable taxes before purchase and will update the governing terms and privacy disclosures. Any future App Store purchase will also be subject to Apple's purchase and refund rules.

Beta features may be incomplete, experimental, capacity-limited, changed, or withdrawn. We do not promise continued TestFlight access, a particular feature set, interoperability, or uninterrupted availability.

4. Your content and the license we need

You retain ownership of notes, drawings, recordings, images, templates, prompts, messages, and other content you submit to the Service ("User Content"). You are responsible for User Content and must have the rights and permissions needed to upload, process, share, or publish it.

You grant us a limited, worldwide, non-exclusive, royalty-free license to host, copy, transmit, format, display, and otherwise process User Content only as reasonably necessary to operate, secure, support, and improve the Service; follow your sharing and export instructions; comply with law; and enforce these Terms. This license allows us to use service providers such as Supabase and Google for those purposes. It ends when the content is deleted from systems under our control, subject to reasonable technical, legal, backup, provider-retention, and recipient-copy limits described in the Privacy Policy.

Community content you deliberately publish may be visible and reusable by others according to the sharing controls presented in the Service. Removing it does not retrieve copies already obtained by another person.

5. Acceptable use

You may not use the Service to:

  • break the law, violate academic-integrity rules, facilitate cheating, or infringe another person's privacy, publicity, or intellectual-property rights;
  • upload content you do not have permission to process, including another person's confidential, biometric, health, disability, financial, or education records;
  • harass, exploit, impersonate, or threaten anyone, or generate or distribute illegal or harmful material;
  • introduce malware, probe or bypass security, gain unauthorized access, disrupt the Service, or interfere with another user;
  • scrape, crawl, reverse engineer, extract models, or use automated means beyond documented interfaces except where a legal restriction cannot apply;
  • evade quotas or safety measures, create abusive accounts, or use the Service at a scale that unreasonably burdens our systems; or
  • use AI features for clinical care, medical diagnosis, emergency decisions, or other high-stakes activity where an error could cause serious harm.

We may investigate suspected misuse and preserve or disclose information when reasonably necessary to protect the Service, users, or public or to comply with law.

6. AI, OCR, solver, and tutor limitations

AI-generated, OCR, solver, graphing, and tutor results may be incomplete, outdated, misleading, or wrong, including when they appear confident. The same or similar output may be generated for other users. NablaNotes does not guarantee recognition quality, mathematical correctness, originality, citations, or fitness for an assignment or decision.

You must independently review and verify results against reliable sources and follow your instructor's and institution's rules. The Service is a study aid, not a substitute for a qualified teacher or professional, and output is not legal, medical, financial, safety, or other professional advice. You are responsible for how you use, edit, submit, or share any result.

7. Storage, sync, exports, and backups

The Service uses a mix of local device storage, limited account synchronization, explicit uploads, and optional manual iCloud backup. It is not a complete or archival backup service. Some files stored locally are not mirrored to our servers, offline changes may not have synchronized, iCloud uploads may remain pending, and beta defects or device/provider failures may cause loss or corruption.

Keep an independent copy of important work and confirm that exports or backups can be opened before relying on them. You control exported, shared, and iCloud copies; deleting a NablaNotes account or note cannot remove every copy from those destinations.

8. NablaNotes materials and feedback

Except for User Content, the Service—including its software, design, branding, and documentation—is owned by us or our licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal study and productivity.

If you submit feedback or a feature suggestion, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation. This does not give us ownership of your notes or other User Content merely because it contains feedback.

9. Third-party services

The Service relies on third-party platforms and may link to services we do not control, including Apple, Supabase, Google Gemini, PostHog, Resend, Formspree, and Netlify. Their terms and availability may affect the Service. We are not responsible for third-party products, content, or acts to the extent allowed by law. Your use of Apple products and TestFlight remains subject to Apple's agreements.

10. Service changes, suspension, and termination

We may add, modify, limit, suspend, or discontinue features or the beta. When practical, we will provide notice of a material discontinuation, but urgent security, legal, provider, or reliability issues may require immediate action.

You may stop using the Service at any time and can request account deletion through the account menu. We may restrict or terminate access if you materially breach these Terms, create risk or legal exposure, misuse the Service, or if continued operation is no longer practical. Where reasonable, we will provide notice and an opportunity to export supported data, unless doing so would create harm, violate law, or compromise security.

Sections that by their nature should survive termination—including ownership, feedback, disclaimers, liability limits, disputes, and obligations concerning already-shared content—will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." NABLANOTES DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, DATA DURABILITY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, SECURE, COMPLETE, AVAILABLE, OR ERROR-FREE.

Some jurisdictions do not allow certain warranty exclusions, so some of this section may not apply to you. Nothing in these Terms excludes a non-waivable consumer right.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NABLANOTES AND ITS CREATORS, CONTRIBUTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, WORK, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NABLANOTES FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. These limits apply to the extent permitted under each legal theory and do not limit liability that cannot lawfully be limited.

13. Governing law and disputes

California law governs these Terms without regard to conflict-of-law rules, except to the extent the law where you live gives you non-waivable rights. You and NablaNotes consent to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, for disputes arising from these Terms or the Service. Before filing a claim, each party agrees to send the other a written description and try in good faith for 30 days to resolve it informally.

14. General terms

If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or asset transfer. These Terms and the Privacy Policy are the entire agreement about the Service unless we enter a separate written agreement with you.

We may update these Terms. We will post changes at this stable URL and revise the date above. If a change is material, we will provide additional notice when reasonably available or required. Your continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and delete your account.
